## Questions

How are you different from private equity?

A private equity firm typically invests from a pooled fund across many companies, with operating involvement that varies by firm. Aurum Pursuit is a private investment platform built around one acquisition: a full-time operator who can be on-site Monday, capital arranged deal by deal so the structure fits the business, and principals who stay in the work after close — not a remote ownership layer managing a portfolio from a distance.

What kind of business are you looking for?

We look at established, profitable, asset-light businesses, typically with enterprise value up to $100M, EBITDA up to $10M, and EBITDA margins of 10-20%. These are directional ranges, not hard limits. We favor recurring or repeat revenue, fragmented markets, and relationship-driven retention. Sectors in play include landscaping, property services, HVAC and plumbing, electrical, fire and life safety, marketing and go-to-market services, managed IT services, and vertical SaaS. For a platform acquisition we prefer Texas, the Central time zone, or the Southeast — though that preference may loosen at larger deal sizes. We search nationwide for remote or multi-market businesses, and for bolt-ons location matters less.

Are you a broker?

No. We are a principal buyer looking to acquire and operate a business ourselves. If we are a fit, the goal is a direct transaction, not a broad auction process.

How is the transaction capitalized?

Each acquisition is financed on a deal-by-deal basis rather than from a pre-committed fund. Financing runs through established relationships, including a committed Milwaukee-based family office, with acquisition debt where appropriate. Once terms are agreed, we close efficiently. The structure is built around the specific business rather than assumed in advance.

Where are you based, and where do you look for acquisitions?

Rick is based in Dallas, Texas, and Michael is based in Atlanta, Georgia. For a platform acquisition, we have a preference for businesses in Texas, the Central time zone, or the Southeast — though that preference may loosen at larger deal sizes. For a bolt-on acquisition to an existing platform, location matters less; remote or remotely-managed businesses fit well within a larger operating structure.

What happens to me and my team after a sale?

That depends on the business and on what you want next. Our default posture is continuity. In most owner-operated service businesses, the team, customer relationships, and operating knowledge are a major part of the value. We are not looking to disrupt what already works. We would work through the right transition plan with you during diligence.

Will you keep the company name?

In many cases, yes. If the brand has customer trust, local reputation, or employee pride behind it, preserving that identity may be the right answer. Any branding decision would depend on the company, market, and growth strategy.

How confidential is the process?

Confidentiality is standard. We would expect an NDA before any substantive diligence, and we offer one within 48 hours. Early diligence is structured around financial, operational, and legal review without broadly involving employees or customers. If later conversations with key employees, customers, or other third parties are needed, we would coordinate timing and messaging with you.

Do I have to roll equity or finance part of the deal?

Not necessarily. Deal structure depends on the business, the seller's goals, financing, and diligence. Some transactions may include seller financing, rollover equity, an earnout, or other deferred consideration, but we do not assume one structure before understanding the situation.

What if I'm not ready to sell yet?

That is fine. We are comfortable building relationships before there is an active process — and glad to be a confidential sounding board when you are still weighing whether, when, or how a transition might make sense. If there is a potential fit, we would rather have a direct conversation early, understand your goals, and stay in touch until the timing is right.

What is your track record?

The principals are not new to this work. Michael has spent more than fifteen years in private equity, family offices, and acquisitions: evaluating deals, structuring capital, and overseeing portfolio companies. Rick has spent more than twenty years as an operating leader, building and growing commercial organizations across enterprise and PE-backed businesses. Aurum Pursuit is a newly formed acquisition vehicle, so this would be our first acquisition through this entity. That combination is why we are selective. We are not trying to collect transactions.
